1. (a) "A stranger to a contract cannot sue." Comment on the statement, giving exceptions, if any. 

'एक अनुबन्ध के लिये अजनबी मुकद्दमा नहीं कर सकता।' इस कथन पर अपवादों को देते हुये, यदि हैं तो, टिप्पणी कीजिये।    (10)

(b) A offers B to sell his 'HIG Flat' for Rs. 2 crores and directs him to send his acceptance only by e-mail. B sends a letter of acceptance by post. Is there valid contract between parties? What would be your answer if A does not reject the acceptance made by e-mail within a reasonable time?

A, B को अपना HIG फ्लेट दो करोड़ रु० में बेचने का प्रस्ताव देता है और उसे स्वीकृति केवल ई-मेल द्वारा भेजने को कहता है B स्वीकृति का पत्र डाक द्वारा भेजता है। क्या पक्षों के मध्य वैध अनुबन्ध है? आपका उत्तर क्या होगा यदि A उचित समय के अन्दर ई-मेल द्वारा भेजी स्वीकृति को अस्वीकार नहीं करता है ?  (5)

(a) Explain the rights of surety against creditor, debtor and co-surety. 

लेनदार, देनदार और सह-जमानती के खिलाफ जमानती के अधिकारों की व्याख्या  कीजिए

(b) Raghav, aged 16 years, fractures his leg while playing cricket. He goes to a doctor and gets his leg plastered. The doctor demands a fee of Rs. 2,000 but Raghav refuses to pay on the ground of minority. The doctor files a suit against Raghav. Will the doctor succeed?

16 वर्षीय राघव की टाँग (पैर) में किक्रेट खेलने के दौरान अस्थि भंग हो गया। वह एक डॉक्टर के पास जाता है और उसके पैर को प्लास्टर कर दिया जाता है। डॉक्टर 2000 रु० की फीस की माँग करता है परन्तु राघव अवयस्क होने के आधार पर देने को मना करता है। डाक्टर राघव के खिलाफ मुकद्दमा दायर करता है। क्या वह सफल होगा ?  (5)

2. (a) Define 'condition' and 'warranty. Explain various implied conditions in a contract of sale. 

'शर्त' एवं 'वारण्टी' को परिभाषित कीजिए। विक्रय अनुबन्ध में निहित विभिन्न शर्तों को समझाइए । (10)

(b) A, at gunpoint, forces B to sell his car to him for Rs.50,000 and then sells it to C for Rs. 5 lacs, who buys it in good faith and without knowing that A had forcibly bought it from B. B, later, sues C for getting the car back. Will he succeed?

A, बन्दूक की नोक पर B को उसकी कार 50,000 रु० में बेचने के लिये बाध्य करता है और फिर उसे C को 5 लाख रु० में बेचता है, जो इसे नेकनीयत (सद्भाव) में खरीद लेता है, बिना यह जाने कि A ने इसे B से बलपूर्वक खरीदा था। बाद में B, C पर कार वापस पाने के लिये मुकदमा करता है। क्या वह सफल होगा?

(a) Who is an 'unpaid seller"? What are his rights as against the goods under the Sale of Goods Act 1930? 

एक 'अदत्त विक्रेता' कौन है? माल का विक्रय अधिनियम, 1930 के अन्तर्गत माल के विरुद्ध उसके क्या अधिकार है ?

(b) Define the term 'goods' under the Sale of Goods Act, 1930. 

माल का विक्रय अधिनियम, 1930 के अधीन 'माल' पद को परिभाषित कीजिए।

3. Explain the following:

(a) Eligibility conditions for becoming a partner in LLP

(b) Change of registered office of LL.P

(c) Extent of liability of designated partner.

निम्न को समझाइए -

(a) LLP में एक साझेदार बनने हेतु उपयुक्तता शर्तें

(b) LLP के पंजीकृत कार्यालय का परिवर्तन

(c) नामित साझेदार के दायित्व का क्षेत्र

(a) How does an LLP differ from a Limited Liability Company?

(b) Write briefly the procedure for conversion of a private company into a LLP.

एक निजी कम्पनी के LLP में परिवर्तित होने की प्रक्रिया को संक्षेप में लिखिए।

4. (a) Define digital signature. Describe the steps for creation and verification of digital signature. 

डिजिटल हस्ताक्षर को परिभाषित कीजिए डिजिटल हस्ताक्षर की रचना एवं सत्यापन के चरणों का वर्णन कीजिए। 

(b) Briefly explain the provisions relating to-  E Governance under IT Act, 2000.

IT अधिनियम, 2000 के अन्तर्गत ई-शासन से सम्बन्धित प्रावधानों को संक्षेप में समझाइए I

(a) What are the duties of "Certifying Authorities" under IT Act, 2000? 

IT अधिनियम, 2000 के अधीन 'प्रमाणित करने वाले अधिकारियों' के क्या दायित्व है ?

(b) Define the following as defined under IT Act, 2000:

(i) Computer Network

(ii) Intermediary.

IT अधिनियम 2000 के अन्तर्गत निम्न को परिभाषित कीजिए

(i) कम्प्यूटर नेटवर्क

(ii) मध्यस्थ ।

5. (a) What are the tax advantages of LLPs in comparison with a company form of business? 

व्यापार के कम्पनी प्रारूप के सापेक्ष  LLP में क्या कर लाभ है ?

(b) State the circumstances when an agent is personally liable to the third parties for the acts done during the course of agency. Give suitable examples.

उन परिस्थितियों को बताइए जब एजेंसी के दौरान किये गये कार्यों (कृत्य) के लिये एक एजेंट तीसरे पक्ष को व्यक्तिगत रूप से उत्तरदायी होता है उचित उदाहरण दीजिए।

or (अथवा)

(a) Explain the doctrine of "Public Policy". Discuss the agreements contrary to public policy.

'जन नीति' के सिद्धान्त को समझाइए जन नीति के विरुद्ध समझौतों का विवेचन कीजिए।

(b) Who can be appointed as designated partner in an LLP? Also discuss the procedure of his appointment.

LLPH में नामित साझेदार के रूप में कौन नियुक्त किया जा सकता है? उसकी नियुक्ति की प्रक्रिया का भी विवेचन कीजिए।  (7)
